1. Parties & Definitions

1.1 Company: GrowthBase LLC


1.2 Client: The individual or entity purchasing Services, including its officers, employees, contractors, or other authorized representatives.


1.3 Services:

LeadFlow Pro — Genesis Edition™ (30-day high-touch install; 3 seats total — overflow seats at Company discretion)

LeadFlow Pro — Essentials Pack™ (DIY deliverables; no live support; no guarantees)

• Future offers (e.g., LeadFlow Gold™) governed by separate written agreements.

Guarantees apply exclusively to LeadFlow Pro — Genesis Edition™.


Acceptance: By checking “I agree …” at checkout or submitting payment, Client fully accepts these Terms.


Capacity: Client affirms they are at least 18 years old (or age of majority) and authorized to bind their business.

2. Services & Delivery

2.1 LeadFlow Pro — Genesis Edition™

a. Weeks 1-3 Modules unlock every Monday 08:00 (Client TZ).

b. Weekly Check-In Form due each Friday 17:00 MT.

c. Weekly Loom Audit Delivered Saturdays 14:00 MT.

d. Week 4 — Authority Sprint™ Seven videos + worksheets unlock Day 22 (Monday 08:00, Client TZ).

e. Day 30 Live Review Zoom meeting ≈ 30 minutes.

f. Support Text/email replies within 24 h, 7 days a week through Day 30.


2.2 LeadFlow Pro — Essentials Pack™  Same drip schedule; email-only support (48-hour response window); no guarantees.


2.3 Delivery Timeline: Day 0 Welcome → Days 1-21 drip content → Friday Check-In → Saturday Audit → Day 22 Sprint → Day 30 Review.


2.4 Lifetime Access: Perpetual while GrowthBase operates its Kajabi (or successor) portal.


2.5 Post-Service Upsell: Eligible graduates may receive an invitation to LeadFlow Gold™.


2.6 Engagement Tracker: Starting on Day 0 and continuing for the entire program (and as long as the Client retains portal access), GrowthBase provides a dedicated dashboard where the Client records every outbound DM, monitors booked-call progress against the guarantee thresholds, and views live conversion and revenue metrics; this dashboard is continuously updated and serves as the official record for guarantee calculations.

2.1 LeadFlow Pro — Genesis Edition™

3. Support & Service Levels

3.1 Ad-Hoc Support: Text (iMessage/SMS) & email; responses within 24 h through Day 30.


3.2 ProTouch™ Support: Direct texting, accountability check-ins, Saturday Loom audits; no group chats or additional live calls.


3.3 Essentials Pack Support: Email-only; responses within 48 h; concludes Day 30.


3.4 Guarantee Extension: ProTouch support continues; GrowthBase may add extra resources or live calls.


3.5 Exclusions: No group communities or live coaching unless separately agreed.

4. Guarantees & No-Refund Policy

4.1 1-on-1 ’Til Done™ Guarantee: Client will achieve at least the Break-Even Call Threshold shown in Schedule A (corresponding to the Core Offer Price the Client declares during checkout/onboarding) within thirty (30) calendar days of the program start date. If this threshold is not reached, GrowthBase will continue providing ProTouch™ 1-on-1 Support at no additional cost until the threshold is achieved.


4.2 Double-Down Round™ Guarantee: If Client (a) completes all Implementation Requirements and (b) still fails to reach the 1.25× ROI Call Threshold in Schedule A within the same thirty-day period, GrowthBase will grant the Client thirty (30) days of complimentary access to LeadFlow Gold™.


4.3 Qualified Call: Booked via connected scheduler, appears in Guarantee Tracker, fits Client niche.


4.4 Implementation: Tracker logs all calls; Client must send 100 DMs per week, complete all modules, and adhere to the reply rules in § 6.9.


4.5 Charge-Back Pause: Services paused during any payment dispute.


4.6 No Refunds: All sales final; duplicate purchases refunded if reported within 24 h.


4.7 Scope: Guarantees exclude LeadFlow Lite.

(25 % close-rate for offers ≤ $1 000; 20 % close-rate for offers $1 100 – $1 500. Break-even thresholds apply to 1-on-1 ’Til Done™ guarantee; 1.25× ROI thresholds apply to Double-Down Round™)

5. Fees & Payment

5.1 Pricing: Genesis Edition $4,500 one-pay or $2,500 + $2,500 split | Essentials Pack $2,000 one-pay


5.2 Stripe automatically charges on Day 30; retries for 7 days if unsuccessful.


5.3 Alternative payment methods available upon request.


5.4 Scheduler-upgrade reimbursements require valid receipts within 72 h.


5.5 Late Payment: Drip content and guarantees paused; termination after 14 days unpaid.


5.6 Taxes & foreign-exchange fees are Client’s responsibility.

5.1 Pricing: Genesis Edition $4,500 one-pay or $2,500 + $2,500 split | Essentials Pack $2,000 one-pay


5.2 Stripe automatically charges on Day 30; retries for 7 days if unsuccessful.


5.3 Alternative payment methods available upon request.


5.4 Scheduler-upgrade reimbursements require valid receipts within 72 h.


5.5 Late Payment: Drip content and guarantees paused; termination after 14 days unpaid.


5.6 Taxes & foreign-exchange fees are Client’s responsibility.

6. Client Responsibilities

6.1 Complete intake within 48 h.


6.2 Scheduler setup within 72 h.


6.3 Weekly Check-In by Friday 17:00 MT.


6.4 Send 100 logged DMs per week.


6.5 Respond to any inbound message, comment, or DM generated through the Program within 24 h, and reply to any GrowthBase request within 48 h (weekends/US holidays excluded).


6.6 Provide accurate data; respond within 72 h; maintain professional conduct.


6.7 Tech requirements: Instagram, Google, smartphone, paid scheduler.


6.8 Provide testimonial if satisfied.


6.9 No sharing IP or poaching staff for 12 months.

6.1 Complete intake within 48 h.


6.2 Scheduler setup within 72 h.

7. Intellectual Property / Licensing

7.1 All materials remain GrowthBase property.


7.2 Perpetual, non-transferable internal-use license upon full payment.


7.3 No resale/public distribution; internal adaptation permitted; AI use permitted; “Jay” & badge may be displayed.


7.4 Breach terminates license and access; GrowthBase may seek injunction.


7.5 GrowthBase may quote testimonials & anonymized results; identifiable use requires explicit consent.

7.1 All materials remain GrowthBase property.

8. Data & Privacy

8.1 Data Collected: Contact info, business metrics, scheduler details, Stripe token, logs, recordings.


8.2 Use: Service delivery, guarantee tracking, support, anonymized marketing.


8.3 Storage: Kajabi, Google Drive, Stripe, Zapier, scheduling platform, Twilio, OpenPhone.


8.4 Data retained indefinitely unless deletion requested.


8.5 Confidential subcontractors under NDA.


8.6 Calls recorded; copies provided upon request.


8.7 GDPR/CCPA rights respected; responses within 30 days.


8.8 Cookies, Meta Pixel, Google Analytics; CookieYes opt-out available.


8.9 One-way operational SMS via Twilio; opt-out via STOP/HELP; no promotional texts.


8.10 Breach notification within 72 hours.


8.11 Marketing Email Opt-In: By purchasing, Client consents to operational and occasional marketing emails; may unsubscribe anytime.

9. Limitation of Liability & Disclaimer

9.3-a Disclaimer of Warranties: Services provided “as-is” and “as-available,” with no warranties beyond explicitly stated.


9.4 Liability limited to fees paid.


9.5 Excludes indirect or lost-profit damages.


9.6 Force majeure applies.


9.7 12-month claim filing window.


9.8 Subject to Utah law (§ 10).


9.9 Indemnification: Client indemnifies GrowthBase from third-party claims arising from Client misuse.

11.5 Lockout, guarantees void, no refund, balance due, no reinstatement.


11.6 Data kept unless deletion requested.

Referrers may earn commissions under a separate Affiliate Agreement (FTC-compliant).

15. Miscellaneous

15.1 Severability. If any provision is held unenforceable, the remainder stays in force.


15.2 No Waiver. Failure to enforce any term is not a waiver of future enforcement.


15.3 Entire Agreement. This document supersedes all prior oral or written discussions.


15.4 Assignment & Successors. GrowthBase may assign or transfer this Agreement; Client may not without written consent.


15.5 Electronic Signature. Checking the acceptance box constitutes a valid e-signature under the U.S. E-SIGN Act.


15.6 Mutual Non-Disparagement. Both parties agree not to publicly disparage the other; private feedback is welcome.
